Jeffrey R. Vetter is a partner in the Corporate Group of Fenwick & West LLP. The firm specializes in a full array of services to high technology companies, including Internet companies, computer software and electronics corporations, telecommunications companies, digital media companies, semiconductor manufacturers and medical device and biotechnology companies. Mr. Vetter's practice concentrates on public and private offerings of securities, mergers and acquisitions, counseling public and late-stage private companies, and other securities law matters.
Mr. Vetter’s recent public offerings include Workday, Facebook, Proofpoint, Fusion-io, Jive
Software, Responsys, SuccessFactors and ShoreTel. He has worked on more than 45 IPOs
during his career. Mr. Vetter also represents underwriters of numerous initial public offerings,
including the initial public offerings of Marin Software, Model N, Jive Software, Fusion-io,
Salesforce.com, Omniture, and has experience with other public and private offerings of debt
and equity securities and stock exchange listings, including the listing of SuccessFactors on
the NYSE, NYSE Euronext and Frankfurt Stock Exchange, corporate governance matters and
joint ventures. Mr. Vetter's mergers and acquisitions transaction experience includes the
acquisition of SuccessFactors by SAP, Plateau Systems by SuccessFactors, the sale of
Omneon to Harmonic, Postini to Google, VeriSign's acquisition of Network Solutions and
Illuminet Holdings, @Home Corporation's acquisition of Excite, and a large number of other
transactions involving public and/or private companies.
Mr. Vetter has also advised companies with respect to corporate governance and SEC
matters, activist stockholders and joint ventures. He also advises a variety of late-stage private

Prior to joining Fenwick & West in 1995, Mr. Vetter represented public companies and
financial institutions in a wide range of corporate finance, lending and merger and acquisition
Mr. Vetter received his undergraduate education at the University of California, Berkeley,
graduating with a B.A., with honors and with distinction, in 1987. He attended law school at the
University of California, Hastings College of the Law, graduating with a J.D., magna cum
laude, in 1990. He also served on the Hastings Law Journal and was named to the Order of
Horace L. Nash is a partner, and is Co-Chair of the Securities Group, of Fenwick & West, a law firm serving the needs of technology and life science companies from offices in Silicon Valley, San Francisco, Seattle and Boise.
For venture-backed private companies, Mr. Nash provides corporate counseling and transactional advice to prepare the company for its initial public offering. For public company clients, he leads capital-raising transactions and counsels the company on corporate governance and sensitive disclosure or compliance issues. Mr. Nash also advises investment banks serving as underwriters in IPOs and follow-on public offerings. Mr. Nash has represented companies in many industries, including consulting, contract manufacturing, eCommerce, enterprise software, food, industrial equipment, Internet, mobile Internet, networking equipment, retail, semiconductors, and software-as-a-service. He has led a wide variety of securities transactions, including many initial public offerings, follow-on public offerings of debt and equity securities, Rule 144A offerings of convertible notes and high-yield debt, shelf registrations and PIPE transactions. Mr. Nash is a frequent speaker on corporate governance and securities law developments.
Mr. Nash has been selected as a Northern California "Super Lawyer" in the areas of Securities & Corporate Finance and Corporate Governance & Compliance each year since 2006.
Mr. Nash is a member of the State Bar of California. He received his J.D. from Harvard Law School cum laude, and served as Policy Essays Editor for the Harvard Journal on Legislation. Prior to law school, Mr. Nash earned his Ph.D. from Stanford University and spent a year at Beijing University. He received his B.A. with honors from the University of Chicago.
